Carewatch Care Services

We have successfully completed negotiations for the sale of Carewatch, our social care franchise business, to Lyceum Capital for £37m.

The purchaser is a new company formed for the purposes of implementing this transaction and is ultimately controlled by Lyceum Capital, a private equity partnership focused on investment in UK mid-market businesses and consumer services.

We believe that now is the right time to realise the significant value created in Carewatch. We are pleased that we have achieved a positive outcome for Carewatch Care Services, the continuing operations of the Group and for our shareholders.

(47), joined the Group as Managing Director of the Social Care Division in October 2007. In this role he was instrumental in rebuilding and strengthening the market position, quality of operation and profitability of this business.

The Board of Nestor Healthcare Group was delighted to announce John’s appointment as Chief Executive with effect from 1st July, 2010.

John has considerable experience of running high quality, service delivery focused, multi-site businesses at DHL and Pitney Bowes, as well as leading a Private Equity-backed business. He has also been a senior executive of the regulatory body, Postcomm.

John is currently a Board member of the UKHCA, the leading trade association dedicated to Home Care provision.

(65), joined the Group and was appointed to the Board as Chairman in October 2003. A chartered accountant, he is also non-executive chairman of Diploma plc and Intelligent Energy plc and holds a number of non-executive appointments in listed and unlisted companies including Inmarsat plc and Babcock International Group plc.

Previously, he was Executive Director, Finance of Corus Group plc (formerly British Steel plc) between 1996 and 2001. From 1989 to 1996 he was Finance Director of Powergen plc and prior to that Finance Director and Company Secretary of Smith & Nephew plc.

He is Chairman of the Board’s Nomination Committee and a member of its Audit and Remuneration Committees.

(54), joined the Group and was appointed to the Board in May 2003. A cost and management accountant, he previously held positions as Finance Director of TeleCity plc, Whitecroft plc, Mann Egerton and Campbell Foods (UK).

Sir Andrew Foster, Non-executive director

Sir Andrew Foster, Non-executive director

(65), was appointed to the Board in January 2004. He has had a long and distinguished career in public service, having served as Chief Executive of the Audit Commission for England and Wales between 1992 and 2003. Other previous appointments include Deputy Chief Executive of the NHS and Director of Social Services for North Yorkshire County Council. He is now Deputy Chairman of the Royal Bank of Canada Europe Limited, Chairman of Commonwealth Games England, Chairman of the Commission on 2020 Public Services, and holds non-executive director positions at National Express Group and PruHealth Limited.

He is the senior non-executive director and Chairman of the Board's Remuneration Committee. He is also a member of its Nomination and Audit Committees.

Roger Dye, Non-executive director

(58), was appointed to the Board as a non-executive director in January 2004. A chartered accountant, he was Finance Director of the Davis Service Group Plc from August 2000 and was then its Chief Executive from May 2005 until his retirement in December 2009. A UK public company director since 1987, he has been Group Finance Director of Transport Development Group plc, Cray Electronics plc and Domino Printing Sciences plc.

He is Chairman of the Board’s Audit Committee and serves on its Nomination and Remuneration Committees.
